Welcome to RoomieHub. These Terms and Conditions (“Terms”) govern your use of our mobile application (“App”) and website. By accessing or using the App or website (collectively, the “Service”), you agree to comply with these Terms. If you do not agree, you may not use our Service.

Please read these Terms carefully as they affect your legal rights, including your agreement to resolve disputes through mandatory arbitration on an individual basis rather than jury trials or class actions.

1. Acceptance of Terms

By accessing, registering for, or using the Service, you agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Service on behalf of a business or entity, you represent that you have the authority to bind that business or entity to these Terms. You may not use the Service if you are under 17 years old or if you are barred from using the Service under the laws of the United States or other applicable jurisdictions.

2. Eligibility

To register for and use the Service, you must meet the following conditions:

• Age Requirement: You must be at least 17 years of age.
• Jurisdiction: The Service is available to users worldwide.
• Compliance with Laws: You agree to use the Service only in compliance with all applicable local, state, and federal laws.

RoomieHub reserves the right to refuse access to the Service to anyone at any time for any reason.

3. Account Registration And Security

To use certain features of the Service, you will be required to create an account. By creating an account, you agree to provide accurate, current, and complete information about yourself, including your name, email address, and any other requested information. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.

• Google and Apple Sign-In: You may log in to the Service using your Google or Apple account. By doing so, you authorize us to access certain information from these accounts, such as your email address and profile image, in accordance with the permissions granted by those platforms.

If you suspect any unauthorized use of your account, you must notify us immediately. RoomieHub will not be liable for any losses or damages caused by unauthorized use of your account.

4. User Conduct And Reporting

By using the Service, you agree to:

• Conduct: You will engage with other users in a respectful and lawful manner. Offensive or inappropriate language or behavior during the roommate discovery process is strictly prohibited. Users who engage in such behavior may be reported by others and are subject to investigation. Reports of inappropriate conduct may result in a permanent ban from the Service at the sole discretion of RoomieHub.
• User Responsibilities: You agree not to use the Service for illegal purposes, to harass, stalk, or otherwise harm other users, or to upload or transmit viruses, malware, or other malicious code. You may not impersonate any other person or entity, and you agree to provide truthful and accurate information at all times.

5. Content And Intellectual Property

• User-Generated Content: You may upload content to your profile, including but not limited to photos, descriptions, and other materials. By uploading content, you grant RoomieHub a non-exclusive, royalty-free, worldwide, irrevocable license to use, display, modify, and distribute your content in connection with the Service.
• Retention of Content: As stated in our Privacy Policy, RoomieHub reserves the right to retain user content and data as long as we deem necessary, even after account termination. We are not obligated to delete user-generated content upon account closure unless legally required to do so.
• Intellectual Property: All intellectual property rights in the Service, including trademarks, copyrights, and proprietary technology, are owned by RoomieHub, LLC or its licensors. You agree not to use, copy, modify, or distribute any content from the Service without our written permission, except as expressly allowed by these Terms.

6. Roommate Matching And Disputes

Disclaimer: RoomieHub provides a platform to connect individuals seeking roommates, but we do not guarantee compatibility or conflict resolution beyond the tools that we offer to the user. Users are solely responsible for interactions with others through the Service. RoomieHub is not responsible for any disputes, conflicts, or disagreements that may arise between users. By using the Service, you agree to release RoomieHub from any claims or liabilities related to your use of the platform, including issues arising from roommate arrangements.

7. Data Collection And Usage

By using the Service, you agree that RoomieHub may collect, store, and use your personal information in accordance with our Privacy Policy. This includes the collection of data necessary for the operation of the Service, such as your name, email address, geolocation data, and uploaded images.

• Data Monetization: By using the Service, you grant RoomieHub permission to monetize data collected from your use of the Service. This may include anonymized or aggregated data used for research, analytics, or other lawful purposes. RoomieHub may retain and monetize data indefinitely, even if it is not immediately used.
• Marketing Restrictions: We do not provide user information we collect through the Service to any third parties for their own marketing purposes.

8. Third-Party Services

The Service may integrate with third-party services to enhance the user experience. Some integrations may include:

• User Safety: Such as verification services to confirm user/student status, which help improve the security and trustworthiness of roommate matches.
• User Experience Enhancements: Including potential integrations with social media platforms, music streaming services, or other external services to streamline your experience.

By using the Service, you agree that RoomieHub may share your data with these third parties only to the extent necessary to facilitate the intended functionality of these integrations. Your use of third-party services is governed by their own terms and privacy policies, and you agree to review and comply with them as applicable.

9. Legal Notices And Compliance

RoomieHub operates nationwide and complies with all applicable legal requirements, including but not limited to the California Consumer Privacy Act (CCPA). Under CCPA and other privacy regulations, users have specific rights regarding their personal information, including the right to request access to, correction of, or deletion of their data.

10. Termination

You may terminate your account at any time directly through our app. RoomieHub reserves the right to terminate or suspend your access to the Service for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately, but we may retain certain information about you as required by law or for legitimate business purposes.

11. Payments And Fees

RoomieHub does not currently- nor will it ever- charge users for downloading or using the App. However, we may offer premium features or services in the future that may require payment. If you choose to purchase such features, you agree to pay all applicable fees and taxes. RoomieHub reserves the right to change its pricing structure at any time with reasonable notice.

12. Dispute Resolution And Arbitration

In the event of any dispute arising out of or relating to these Terms or your use of the Service, you agree to first attempt to resolve the dispute informally by contacting us. If the dispute cannot be resolved within 30 days, the dispute shall be resolved through binding arbitration under the rules of the American Arbitration Association.

• Class Action Waiver: You agree that all disputes will be resolved on an individual basis and not as part of a class or representative action.
• Governing Law: These Terms are governed by and construed in accordance with the laws of the state of Arizona, without regard to its conflict of law principles.

13. Limitation Of Liability

To the fullest extent permitted by law, RoomieHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. In no event shall RoomieHub’s total liability exceed the amount you have paid to us for the use of the Service in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless RoomieHub and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses arising out of your use of the Service or your violation of these Terms.

15. Changes To Terms

RoomieHub reserves the right to modify or update these Terms at any time. Changes will be effective upon posting on the website or within the App. We encourage you to review these Terms periodically. Your continued use of the Service after changes are made will constitute your acceptance of the updated Terms.
